Board Seat

Definition

A position on a company board of directors, giving the holder a formal vote in major decisions.

Why it matters

Giving away board seats means sharing control of big decisions, so it is one of the most important things you negotiate.

Example

A lead investor takes a board seat as a condition of leading the Series A.
