Capitalisation Table

Definition

A spreadsheet or document showing who owns what percentage of a company, founders, investors, employees with options, and any other shareholders.

Why it matters

The cap table tells you who controls your company. Before raising money or giving equity, you must understand exactly how dilution affects your ownership and voting rights.

Example

After a seed round: Founder A 45%, Founder B 35%, Angel investor 15%, Employee option pool 5%. Total = 100%. Every future fundraise dilutes all existing holders proportionally.
