Memorandum of Association

Definition

One of two founding documents of a UK limited company, stating the company's name, registered country, and that members agree to form the company.

Why it matters

The Memorandum of Association is created automatically at incorporation. Understanding it confirms your company was formed correctly and legally.

Example

When a founder incorporates her company online via Companies House, both the Memorandum of Association and Articles of Association are filed automatically.
