Pro-rata Rights

Definition

The right of an existing investor to buy more shares in future rounds to keep their ownership percentage the same.

Why it matters

These rights let early backers protect their stake from dilution, which can take up room in future rounds you offer to new investors.

Example

An angel with pro-rata rights invests again in the Series B to keep her 5% stake.
