Recapitalisation

Definition

A restructuring of a company mix of shares and debt, often to change ownership or fix financial problems.

Why it matters

A recapitalisation can rescue a struggling company or reset its cap table, but it often heavily dilutes existing owners.

Example

After a tough year, a startup undergoes a recapitalisation that resets share ownership among investors.
