Tag-Along Rights
Definition
A protection that lets minority shareholders join a sale on the same terms when a major shareholder sells their shares.
Why it matters
Tag-along rights protect smaller shareholders, including founders, from being left behind when bigger owners cash out.
Example
When a majority investor sells, a founder uses her tag-along rights to sell some shares on the same terms.
